TERMS OF USE AGREEMENT

INTRODUCTION

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Goated Bets LLC, a limited liability company organized under the laws of the United States (“Company,” “we,” “us,” or “our”), governing your access to and use of the Goated Bets website, mobile application, and related services (collectively, the “Service”, “Services”, “Site”, “Application”).

You must be at least 21 years of age to access or use the Service. By accessing or using the Service, you represent and warrant that you are at least 21 years of age. Each User is responsible for ensuring that gambling is legal in his or her state or country. The Company does not support or condone underage gambling. ACCEPTANCE OF TERMS

BY ACCESSING, BROWSING, OR USING THE SERVICE IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND ANY ADDITIONAL TERMS, GUIDELINES, OR RULES THAT MAY APPLY TO SPECIFIC PORTIONS OF THE SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE YOUR USE OF THE SERVICE.

We reserve the right, at our sole discretion, to modify, alter, or otherwise update these Terms at any time. Such modifications shall become effective immediately upon posting the updated Terms on the Service. For material changes to these Terms, we will make reasonable efforts to provide you with email notification. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes. You are responsible for regularly reviewing these Terms to stay informed of any updates.

INFORMATION AND DATA DISCLOSURE

All information, including but not limited to statistical analyses, performance predictions, betting recommendations, odds/pricing data, and historical data (collectively "Information"), is provided strictly for informational and entertainment purposes. We put forth our best effort to supply accurate and updated information. However, human error or computing errors are possible. Data may not always be entirely accurate or updated. In the case that you believe any data contains errors or misinformation, please reach out to us and we will take the necessary actions to resolve any such issues as quickly as possible. Goated Bets LLC does not assume liability of any sort – financial or otherwise. Our exemption from liability includes but is not limited to picks we recommend and statistics users browse on the Service which happen to result in losing bets.

IF YOU USE THIS DATA TO MAKE A WAGER, PLEASE ONLY BET AMOUNTS THAT YOU CAN AFFORD TO LOSE. THERE IS ABSOLUTELY NO GUARANTEE MADE THAT USERS WILL MAKE A PROFIT AS A RESULT OF USING THE TOOLS OR FOLLOWING PROVIDED ADVICE. THE COMPANY IS NOT AND SHOULD NOT BE CONSIDERED A SPORTSBOOK. THE COMPANY DOES NOT FUNCTION AS THE COUNTER-PARTY TO ANY WAGER, DOES NOT SET LINES, DOES NOT ESCROW CUSTOMERS FUNDS, AND DOES NOT PAYOUT CUSTOMERS FOR SUCCESSFUL WAGERS. USE YOUR OWN BEST JUDGEMENT AND BE AWARE THAT ALL BETS YOU PLACE ARE DONE SO AT YOUR OWN RISK.

INTELLECTUAL PROPERTY

The Service, including its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof), are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. All rights not expressly granted to you are reserved by the Company and its licensors. The Company name, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You may not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

Except as specifically outlined in these Terms of Use, no portion of the Service may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, sold, distributed, or otherwise exploited in any manner across any computer, server, website, or alternative medium for publication, distribution, or commercial purposes without our express prior written consent. You are strictly prohibited from engaging in any form of data scraping, data harvesting, data extraction, or data mining activities on or through the Service. This prohibition includes, but is not limited to:

  • Using any automated software, process, program, robot, web crawler, spider, data mining tool, or other automatic device, program, algorithm, or methodology to access, acquire, copy, or monitor any portion of the Service;

  • Using any manual process to monitor or copy any content from the Service;

  • Using any device, software, or routine to interfere with the proper working of the Service;

  • Circumventing any robot exclusion headers or other measures we employ to restrict access to the Service or use of the Service;

  • Taking any action that imposes an unreasonable or disproportionately large load on our infrastructure;

  • Deep-linking to any portion of the Service without our express written permission;

  • “Framing,” “mirroring,” or otherwise incorporating any part of the Service into any other website without our prior written authorization;

  • Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.

Any unauthorized use of the Service, including but not limited to the activities described above, shall immediately terminate the account. We reserve the right to take all steps necessary to enforce these anti-scraping provisions, including but not limited to technological measures to detect and prevent scraping, legal action, and immediate termination of access to the Service.

USER REGISTRATION AND REPRESENTATION

You may be required to register with the Service. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

In using the Services, you confirm and guarantee that: (1) all enrollment details you provide will be genuine, correct, up-to-date, and thorough; (2) you will ensure such enrollment information remains accurate and promptly revise it when necessary; (3) you possess legal competence and consent to abide by these Terms of Use; (4) you are of legal age in your place of residence; (5) you will not utilize the Service via automated or mechanical means, including bots, scripts, or similar methods; (6) you will not employ the Service for any unlawful or unauthorized objective; and (7) your Service usage will comply with all relevant laws and regulations. Should you supply any information that is false, inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate your account and deny any present or future access to the Service (or any component thereof).

Users who purchase any paid subscription tiers of the software, either upfront or via expiration of free trial, will be billed the entire amount for their selected monthly or annual plan. Users are responsible for canceling their subscription by contacting our support team at admin@goatedbets.com if they desire to do so. No exceptions will be granted in refunding already-billed subscription amounts.

SUBMISSIONS

You recognize and consent that any inquiries, remarks, proposals, concepts, input, or other information concerning the Service ("Submissions") that you provide to us are non-private and shall become our exclusive property. We shall possess complete rights, including all intellectual property rights, and shall be permitted unrestricted utilization and distribution of these Submissions for any legitimate purpose, commercial or otherwise, without acknowledgment or payment to you. You hereby surrender all moral rights to any such Submissions, and you hereby assure that any such Submissions are your original work or that you possess the authority to submit such Submissions. You agree you shall have no claim against us for any alleged or actual violation or misuse of any proprietary right in your Submissions.

THIRD PARTY CONTENT AND WEBSITE

The Service may contain links to third-party websites, services, or applications that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

INDEMNIFICATION

You accept responsibility to defend, indemnify, and hold harmless Goated Bets LLC, its affiliates, and their executives, board members, staff, advisors, representatives, licensors, and vendors from any claims, damages, obligations, settlements, disputes, costs, or expenses (including reasonable attorney and expert witness fees) resulting from: (i) your interaction with the Service, (ii) any breach of these Terms of Use or applicable regulations during your Service usage, (iii) any actual or claimed violation by you, or anyone accessing the Service with your account credentials, of any third party's intellectual property, privacy or other rights, or (iv) any unauthorized access to password-protected content using your account information, regardless of your awareness or authorization of such access.

ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Accessing the Service, transmitting emails to us, and filling out online forms constitute digital communications. You grant permission to receive digital communications, and you agree that all contracts, notifications, revelations, and other communications we deliver to you digitally, via email and on the Service, fulfill any legal obligation that such communication be in written form. YOU HEREBY CONSENT TO THE USAGE OF DIGITAL SIGNATURES, CONTRACTS, ORDERS, AND OTHER DOCUMENTATION, AND TO ELECTRONIC PROVISION OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby relinquish any rights or demands under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require a physical signature or delivery or preservation of non-electronic documents, or to payments or the granting of credits by any means other than electronic methods.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, SUBSIDIARIES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS (COLLECTIVELY, THE “COMPANY PARTIES”) EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
